Terms of service

These terms are an agreement between Offshore Apps Limited, a New Zealand company (“we”, “us”), and the business that creates a PadClock account (“you”). By creating an account you accept them on behalf of your business, and confirm that you are allowed to.
1. The service
PadClock lets a business record its employees’ hours on a tablet kiosk, review and correct them, and send them to Xero Payroll as draft timesheets. We keep improving PadClock, and features may change. If a change takes away something significant you rely on, we will tell the account owner by email before it happens.
2. What you need
- A New Zealand Xero Payroll account. PadClock does not support payroll in other countries.
- An Android tablet or iPad for the kiosk, with an up-to-date browser, and an internet connection. The kiosk keeps recording while offline and sends clock-ins once it is back online.
You are responsible for your Xero subscription, your devices and your internet connection.
3. Your account
- Each business has one owner, who manages billing and can transfer ownership to another admin. The owner can invite other admins. An invitation expires after 7 days.
- Keep sign-in details and the kiosk admin PIN private. If you think someone else has got into your account, tell us straight away at support@padclock.com.
- You are responsible for what is done under your account, and for keeping the details you give us accurate.
4. Free trial
- Your first 30 days are free, from when you finish setting up. You don’t need a card to start, and nothing is charged automatically when the trial ends.
- We email the owner a week before the trial ends, and again the day before.
- If you subscribe during the trial, your first payment is taken when the trial ends.
5. Price and payment
- After the trial, PadClock costs $11.99 NZD a month per business, including GST, with no limit on employees.
- The subscription is billed monthly in advance and renews each month until it is cancelled. Payments are taken by our payment provider, Stripe. Your invoices are in the billing portal: Settings → Billing → Manage billing.
- If a payment fails, you have 14 days to fix it, for example by updating your card in the billing portal. PadClock keeps working in the meantime.
- We will email the owner at least 30 days before changing the price. A new price applies from your first billing date after that notice. If you don’t want to pay it, you can cancel before then.
6. When an account is paused
If the trial ends without a subscription, or a failed payment is not fixed within 14 days, the account is paused: staff can’t clock in, and timesheets can’t be sent to Xero. Nothing is deleted. Admins can still sign in and download your records, and subscribing unpauses the account.
7. Cancelling and refunds
- The owner can cancel at any time in the billing portal (Settings → Billing → Manage billing). PadClock keeps working until the end of the month you have paid for, and then the account is paused.
- Payments are not refundable, including for part of a month, unless the law requires a refund, or we close your account without you having broken these terms. In that case we refund the unused part of the month you have paid for.
- Deleting your account (Settings → Account) deletes your business’s data, as the privacy policy explains. It does not cancel your subscription, so cancel that first.
8. Your data
- Your business owns the information it puts into PadClock, including its employees’ time records. You allow us to store and process it only to provide PadClock to you, as the privacy policy describes.
- You can download your records as a spreadsheet or PDF at any time, including while the account is paused.
- You are responsible for being allowed to give us your employees’ information, and for telling your employees how their time is recorded, as the Privacy Act 2020 requires.
- You remain responsible for your payroll and for keeping the wage and time records the law requires. Check timesheets before you run pay.
9. Xero
PadClock connects to your Xero organisation only with your permission, and you can disconnect it at any time in Settings. Xero is a separate service with its own terms. PadClock is not made, endorsed or supported by Xero, and we are not responsible for Xero’s service, its availability, or changes Xero makes to it.
10. Using PadClock fairly
Don’t use PadClock for anything unlawful; try to reach another business’s information or get around PadClock’s security; interfere with or overload the service; or copy, resell or reverse-engineer PadClock.
11. Availability and support
We work to keep PadClock available, but it may sometimes be interrupted, for example for maintenance, or by problems with our providers or with Xero. The kiosk keeps recording while offline. Support is by email at support@padclock.com.
12. Our intellectual property
PadClock, its software and its brand belong to us. These terms let you use PadClock while your account is open; they don’t transfer any ownership to you. If you send us suggestions, we may use them freely.
13. Liability
- You are acquiring PadClock for the purposes of a business, so you agree that the Consumer Guarantees Act 1993 does not apply.
- As far as the law allows, PadClock is provided as it is, and we are not liable for indirect or consequential loss, or for lost profits, revenue, data or goodwill.
- We are not responsible for pay that is wrong because timesheets were not checked, or for problems caused by Xero, your devices or your internet connection.
- Our total liability to you for anything to do with PadClock is limited to what you paid us in the 12 months before the claim, or $100 NZD, whichever is more.
- Nothing in these terms limits any liability that the law does not allow to be limited.
14. Ending the agreement
- You can stop using PadClock at any time: cancel your subscription, then delete your account if you want your data gone.
- We may suspend or close an account that seriously breaks these terms, or that isn’t paid for. Where we can, we will tell the owner first and give a reasonable chance to put it right. We may act straight away when that is needed to protect PadClock, other customers or anyone’s safety.
- If we ever stop providing PadClock altogether, we will give owners at least 30 days’ notice by email, so you can download your records.
15. Changes to these terms
We may update these terms. We will change the date at the top, and email account owners about significant changes at least 30 days before they take effect. Using PadClock after that means you accept the updated terms.
16. General
- These terms are governed by New Zealand law, and New Zealand courts have jurisdiction.
- If any part of these terms can’t be enforced, the rest still applies.
- We are not responsible for delays or failures caused by events beyond our reasonable control.
- We may transfer these terms to whoever takes over PadClock.
- We send notices to the account owner’s email address. You can send notices to support@padclock.com.
- These terms and the privacy policy are the whole agreement between us about PadClock.
